This Order Form is governed by the Korro App Terms of Use, including the Occupational Therapist Terms of Use and the Additional Terms of Use For Clinics, which are also available on your portal and incorporated herein by reference (“Terms”). Unless otherwise defined herein, all capitalized terms will have the same meaning defined in the Terms. In the event of conflict between the terms of the Terms and this Order Form, the terms of the Terms will govern. Notwithstanding anything to the contrary in the Terms, the Terms shall apply to all health professionals using the Korro App under this Order Form, including without limitation occupational therapists, physical therapists and speech-language pathologists (collectively, “Practitioners”).
The Standard Practitioner License: During the License Term (as defined below), Korro will grant the right to a unique license for each Practitioner who practices at, with, for, or in conjunction with the Clinic, to access and use the following services:
Adding Practitioners: During the License Term and subject to additional Practitioner license fees (see Section 4 (Pricing) below), the Clinic may add additional Practitioners under the Clinic’s Standard Practitioner License.
The initial license period for the Clinic’s Standard Practitioner License begins on the day of first payment and continues for twelve (12) months. Thereafter, the license term shall automatically renew for successive one-year renewal periods unless either party provides written notice of non-renewal to the other party at least ninety (90) days prior to the end of the then-current initial period or renewal period (as applicable). The initial license period and all such renewal periods are, collectively, the “License Term.”
To avoid doubt, upon the lapse or termination of the License Term, the access granted to any Practitioner shall terminate. Notwithstanding the foregoing, Korro may terminate your license in accordance with this Order Form or the Terms.
You acknowledge and agree that:
The Standard Practitioner License and all the licenses and users included in it cannot be canceled during the License Term, except via notice of non-renewal given in accordance with Section 2. All fees paid are non-refundable.
You may send notice of non-renewal to customersuccess@korro.ai. Effective cancellation notices (i.e., given at least 90 days prior to the end of the then-current initial period or renewal period, as applicable) will not take immediate effect but instead will be effective at the end of the applicable period. If a cancellation notice is given during such 90-day period, it shall apply to the subsequent one-year renewal period.
For each month, a client will count for billing purposes (and the full applicable monthly charge will be billed) if the client’s account is active or uses the App at least once during such month. Sales or similar taxes may be added to the payment amount based on your local sales tax rate, as applicable. All pricing is subject to change at any time in Korro’s sole discretion, including pricing of Korro@Home. Korro and Clinic intend and believe that the license and services described above in Section 1 comply with the discount provisions of the federal anti-kickback statute, 42 U.S.C. § 1320a-7b(b), and the discount safe harbor regulations at 42 C.F.R. § 1001.952(h). In accordance with such provisions, Clinic shall fully and accurately report net prices paid for the items and services supplied hereunder where appropriate, and as appropriate, under any applicable payer reimbursement requirements and provide information upon request to Medicare, Medicaid and other federal health care programs.
If this option is elected, the Clinic shall pay the full annual license fee upon commencement of the
applicable one-year license period during the License Term, based on the number of Practitioners then subscribed. Commencing January 1, 2026, the Clinic shall also be charged monthly for additional clients (beyond the six (6) clients included with each Practitioner license); the first billing for such clients will occur within the first 15 days of the following month after the applicable client is added and will include the full applicable monthly charge for the prior month for such client. If the Clinic adds additional Practitioners, the Clinic shall pay an additional prorated Practitioner license fee for the period remaining until the end of the then-current one-year license period.
If this option is elected, the Clinic will pay the license fee on a monthly basis, starting on the date when the Clinic signed up, for each monthly billing cycle during the License Term, based on the number of Practitioners then subscribed. Commencing January 1, 2026, the Clinic will also be charged monthly for additional clients (beyond the six (6) clients included with each Practitioner license); the first billing for such clients will occur within the first 15 days of the following month after the applicable client is added and will include the full applicable monthly charge for the prior month for such client. Additional Practitioners may be added at any time during the License Term, and their access (and billing) shall commence on the first day of the monthly billing cycle following the monthly billing cycle in which the Practitioner was added.
